Terms and Conditions

Last Updated: August 13, 2026

These Terms and Conditions (“Terms”) govern your access to and use of alphacharliemarketing.com (the “Site”), which is operated by Alpha Charlie, Inc. (“Alpha Charlie,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

1. About the Site

Alpha Charlie is a marketing and advertising agency. The Site provides general information about Alpha Charlie, our capabilities, experience, work, perspectives, and related topics and allows visitors to contact us or subscribe to communications.

The Site does not itself sell products or services, process payments, accept deposits, provide online booking, create subscriptions, or establish a paid client engagement.

2. No Client Relationship Created by the Site

Visiting the Site, submitting a contact form, subscribing to a newsletter, requesting information, or otherwise communicating with Alpha Charlie through the Site does not by itself create an agency-client, consultant-client, fiduciary, confidential, or other professional relationship.

Alpha Charlie becomes engaged to provide professional services only when Alpha Charlie and the applicable client enter into a separate written agreement, proposal, scope of work, authorization, or other mutually accepted arrangement governing those services.

We are not obligated to accept any inquiry, project, engagement, or prospective client.

3. Separate Client Agreements Control

These Terms govern use of the Site only.

Services performed by Alpha Charlie for a client are governed by the applicable proposal, scope of work, client agreement, nondisclosure agreement, media authorization, purchase authorization, or other written agreement between Alpha Charlie and that client.

If a separately executed agreement between Alpha Charlie and a client conflicts with these Terms regarding the professional services covered by that agreement, the separately executed agreement controls with respect to those services.

Nothing in these Terms changes ownership, confidentiality, payment, indemnification, licensing, termination, or other rights or obligations established by a separately executed client agreement.

4. Eligibility

The Site is intended for adults and business professionals.

You must be at least 18 years old to submit information through the Site or use its interactive features.

By submitting a form or otherwise interacting with the Site, you represent that you are at least 18 years old and have the legal capacity to do so.

5. Intellectual Property

Except for client materials, third-party materials, and other content identified below, the Site and its contents are owned by or licensed to Alpha Charlie and are protected by applicable copyright, trademark, trade dress, and other intellectual-property laws.

Protected Site content may include:

  • Text and written content;
  • Articles and other publications;
  • Graphics;
  • Illustrations;
  • Photography;
  • Video;
  • Animation;
  • Audio;
  • Website design and layout;
  • Logos;
  • Brand elements;
  • Campaign concepts displayed as Alpha Charlie work;
  • Software and functionality; and
  • Other creative materials.

The Alpha Charlie name, logos, trademarks, service marks, and related branding may not be used without our prior written permission except as permitted by applicable law.

No ownership interest in Alpha Charlie intellectual property is transferred to you merely because you access the Site.

6. Limited Permitted Use

Alpha Charlie grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful informational purposes, including evaluating Alpha Charlie and its services.

You may print or save a reasonable number of pages for your own internal, noncommercial informational use, provided that you do not remove copyright, trademark, attribution, or other proprietary notices.

Unless Alpha Charlie gives prior written permission or these Terms expressly allow otherwise, you may not:

  • Republish substantial portions of Site content;
  • Reproduce Site content for commercial use;
  • Sell, sublicense, or distribute Site content;
  • Create a competing publication, database, website, service, or content library using Site content;
  • Modify or falsely attribute Site content;
  • Remove proprietary notices;
  • Use Alpha Charlie trademarks in a manner likely to create confusion;
  • Present Alpha Charlie content as your own; or
  • Exploit Site content in a manner that infringes Alpha Charlie’s or another party’s intellectual-property rights.

7. Search Engines, AI Systems, and Automated Access

Alpha Charlie wants its publicly available Site content to be discoverable through legitimate search, research, and information-retrieval services.

Subject to these Terms and any technical instructions Alpha Charlie publishes through robots.txt, metadata, HTTP headers, or similar machine-readable controls, Alpha Charlie permits bona fide search engines and AI-enabled search or retrieval services to access and process publicly available Site content when reasonably necessary to:

  • Index the Site;
  • Identify relevant Site pages;
  • Return search results;
  • Provide links to the Site;
  • Identify Alpha Charlie as a relevant source;
  • Quote or display limited excerpts;
  • Summarize relevant information in response to a user request; or
  • Cite or refer users to Alpha Charlie and the Site.

This permission does not authorize an automated service to reproduce substantial portions of the Site, create a substitute for the Site, circumvent access controls, or engage in excessive or disruptive crawling.

Unless Alpha Charlie provides separate written permission or expressly authorizes the activity through an applicable machine-readable control, no license is granted to use Site content as training data or to copy, scrape, harvest, ingest, or otherwise use substantial Site content for the purpose of training, fine-tuning, developing, or improving a general-purpose artificial intelligence, machine-learning, foundation, or generative model.

Nothing in this section restricts uses that applicable law independently permits without Alpha Charlie’s authorization.

8. Client Work and Third-Party Intellectual Property

The Site may display examples of work performed for Alpha Charlie clients, including client names, logos, trademarks, photographs, videos, advertisements, designs, campaigns, websites, case studies, and other materials.

Ownership of those materials is determined by the applicable client agreement, license, or other legal rights and is not transferred to Alpha Charlie or to a Site visitor merely because the material appears on the Site.

Client names, trademarks, logos, and other third-party intellectual property remain the property of their respective owners.

Certain materials incorporated into client work may be licensed from photographers, illustrators, typeface providers, stock-media providers, software developers, music licensors, or other third parties and remain subject to the applicable third-party licenses.

Nothing on the Site grants you a license to use a client’s or other third party’s trademarks, copyrighted works, or other intellectual property.

9. Portfolio, Case Studies, and Results

The Site may contain examples of completed work, client experiences, testimonials, campaign performance, business results, audience growth, engagement, traffic, leads, sales, return on investment, or other measurable outcomes.

These examples describe particular projects and circumstances.

Past performance, case-study results, testimonials, and examples do not guarantee that another client, project, campaign, or engagement will achieve the same or similar results.

Marketing and business outcomes depend on numerous factors that may be outside Alpha Charlie’s control, including market conditions, competition, media costs, client decisions, budgets, timing, audience behavior, products, services, economic conditions, platform changes, and execution by third parties.

10. General Informational Content

Articles, news, commentary, insights, recommendations, and other informational material published on the Site are provided for general informational purposes.

Although we seek to provide useful information, Site content may become incomplete, outdated, or inaccurate over time.

Nothing on the Site constitutes legal, tax, accounting, financial, regulatory, investment, or other professional advice outside the marketing and advertising services expressly undertaken through a separate client engagement.

You are responsible for obtaining appropriate professional advice concerning matters requiring specialized legal, financial, accounting, regulatory, or other expertise.

11. Confidential Information

Do not send confidential, proprietary, trade-secret, export-controlled, security-sensitive, or similarly sensitive business information through the general contact form unless Alpha Charlie has agreed in advance to receive that information on a confidential basis.

Submitting information through the Site does not, by itself, create a nondisclosure agreement or other contractual confidentiality obligation.

If Alpha Charlie and another party have entered into a separate nondisclosure agreement or other written confidentiality agreement, that agreement governs information within its scope.

This section does not limit Alpha Charlie’s obligations concerning personal information under our Privacy Policy or applicable law.

12. Unsolicited Ideas and Creative Submissions

Alpha Charlie develops marketing strategies, campaigns, concepts, names, designs, written materials, creative ideas, and other work for itself and its clients.

Because similar concepts can be independently developed by different people, we ask that you not submit unsolicited campaign ideas, creative concepts, slogans, designs, inventions, business concepts, or similar materials through the Site unless we have requested them.

If you nevertheless send unsolicited material:

  • Your submission does not create a confidential or fiduciary relationship;
  • Alpha Charlie is not obligated to evaluate, use, return, or compensate you for the submission;
  • The submission does not prevent Alpha Charlie from developing, using, or receiving independently developed ideas that may be similar;
  • You represent that you have the right to submit the material; and
  • You grant Alpha Charlie a limited, nonexclusive right to review and internally evaluate the material for the purpose for which you submitted it.

You do not automatically transfer ownership of your intellectual property to Alpha Charlie merely by making an unsolicited submission.

13. Prohibited Uses

You may not use the Site to:

  • Violate applicable law or regulation;
  • Infringe or misappropriate intellectual-property, privacy, publicity, contractual, or other rights;
  • Attempt to gain unauthorized access to the Site, hosting environment, accounts, systems, networks, or nonpublic information;
  • Circumvent authentication, security, rate limits, technical restrictions, or access controls;
  • Introduce viruses, malware, ransomware, malicious code, or other harmful technology;
  • Interfere with or disrupt the Site or its infrastructure;
  • Conduct vulnerability testing or penetration testing without written authorization;
  • Impersonate Alpha Charlie or another person or organization;
  • Submit false, fraudulent, misleading, threatening, abusive, unlawful, or malicious information;
  • Harvest email addresses, contact information, or other data for unauthorized solicitation;
  • Scrape, crawl, mine, harvest, or bulk-download Site content except as expressly permitted under Section 7;
  • Use Site content to create a competing content repository or substitute service;
  • Use Site content for unauthorized AI or machine-learning training as described in Section 7; or
  • Assist another person in engaging in prohibited activity.

14. Third-Party Websites and Services

The Site may contain links to, integrations with, or embedded content from third-party websites and services, including video platforms, social-media platforms, technology providers, and other external resources.

Third-party websites and services are controlled by their respective operators, not Alpha Charlie.

We do not guarantee and are not responsible for the availability, accuracy, content, security, privacy practices, terms, functionality, or conduct of third-party websites or services.

A link to or reference to a third party does not necessarily constitute an endorsement by Alpha Charlie.

Your use of a third-party service is subject to that provider’s terms, policies, and practices.

15. Privacy

Our collection and use of personal information associated with the Site are described in our Privacy Policy.

By using the Site, you acknowledge that information may be collected and processed as described in the Privacy Policy.

16. Website Availability and Changes

We may modify, update, suspend, restrict, remove, or discontinue any portion of the Site at any time.

We do not guarantee that:

  • The Site will always be available;
  • Access will be uninterrupted;
  • Every feature will continue to be offered;
  • Content will always be current;
  • Errors will always be corrected; or
  • Particular content will remain available indefinitely.

We may restrict or block access to the Site when we reasonably believe a user has violated these Terms, threatens the Site or our systems, engages in unlawful activity, or otherwise misuses the Site.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Alpha Charlie disclaims all warranties concerning the Site, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent such warranties may lawfully be disclaimed.

Without limiting the foregoing, we do not warrant that the Site will be uninterrupted, error-free, completely secure, accurate, current, or free of viruses or other harmful components.

This disclaimer concerns the Site and does not replace or modify warranties, representations, or commitments expressly made by Alpha Charlie in a separately executed client agreement.

Some jurisdictions do not permit certain warranty exclusions. Where an exclusion is prohibited, it applies only to the maximum extent permitted by applicable law.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALPHA CHARLIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE OR THESE TERMS.

To the fullest extent permitted by applicable law, Alpha Charlie’s total aggregate liability to you for all claims arising out of or relating to the Site or these Terms will not exceed $100.

These limitations apply regardless of the theory of liability and even if Alpha Charlie has been advised that damages are possible.

The limitations in this section apply only to claims arising from the Site or these Terms. They do not replace a liability provision contained in a separately executed agreement governing Alpha Charlie’s professional services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

19. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Alpha Charlie and its officers, directors, employees, contractors, representatives, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your unlawful or unauthorized use of the Site;
  • Your violation of these Terms;
  • Your infringement or misappropriation of another person’s rights;
  • Material you submit through the Site in violation of another person’s rights; or
  • Your intentional interference with the Site or its systems.

This Section applies to use of the Site and does not replace any indemnification provision in a separately executed client agreement.

20. Governing Law and Venue

These Terms and disputes arising out of or relating to the Site or these Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles.

To the extent permitted by applicable law, any lawsuit or judicial proceeding arising out of or relating to the Site or these Terms must be brought exclusively in:

  • A state court of competent jurisdiction located in Sedgwick County, Kansas; or
  • If federal subject-matter jurisdiction exists, the United States District Court for the District of Kansas.

You consent to the personal jurisdiction and venue of those courts for such disputes.

This provision governs disputes concerning the Site and these Terms only. A separately executed agreement may establish different or additional dispute-resolution provisions for a professional engagement.

21. Changes to These Terms

We may revise these Terms from time to time to reflect changes to the Site, our practices, technology, legal requirements, or other circumstances.

When we update these Terms, we will post the revised version on the Site and update the “Last Updated” date at the top of this page.

Unless otherwise stated, revised Terms apply prospectively from the date they are posted.

Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms.

22. Suspension and Termination of Access

Alpha Charlie may restrict, suspend, or terminate your access to all or part of the Site if we reasonably believe that you:

  • Have violated these Terms;
  • Are using the Site unlawfully;
  • Are creating a security or operational risk;
  • Are attempting unauthorized access; or
  • Are otherwise materially misusing the Site.

Provisions that by their nature should survive termination or restriction of access will continue to apply, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law.

23. Severability

If a court of competent jurisdiction determines that any provision of these Terms is unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed from these Terms.

The remaining provisions will continue in effect.

24. No Waiver

Alpha Charlie’s failure to exercise or enforce a right or provision under these Terms does not waive that right or provision.

A waiver is effective only when made expressly by Alpha Charlie.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without Alpha Charlie’s prior written consent.

Alpha Charlie may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or similar business transaction.

26. Entire Agreement Regarding Website Use

These Terms constitute the agreement between you and Alpha Charlie concerning your use of the Site, together with any additional terms expressly presented for a particular Site feature.

These Terms do not supersede a separately executed client agreement, proposal, scope of work, nondisclosure agreement, or other written agreement governing services or another specific relationship between you and Alpha Charlie.
